1.1 These general terms and conditions for event participants (“T&C”) stipulate the relationship between us, the Talon.One GmbH (“Organiser”) and the individual persons interested in attending an event (“Participant”). Consumers according to Section 13 German Civil Code cannot be Participants. The specific Event is specified in Annex 1 (“Event”). Organizer and Participant are referred to individually as “Party” and jointly referred to as “Parties”.
1.2 Any deviating, conflicting or supplementary general terms and conditions contrary to or differing from these T&C will not be applicable unless otherwise explicitly agreed by the Organiser in writing. The Participant accepts these T&C by registering for participation in the Event.
1.3 Individual agreements between Organiser and Participants shall take precedence over these T&C. The Party invoking an individual agreement shall prove that such agreement exists.
2.1 Participant’s application for the Event requires registration on the Organiser's website https://incentivize.talon.one/ (“Registration”). The Participant must state the following during Registration: First name, last name, work email address, company name, company size, job title and business type and if they choose to, they can share dietary and accessibility needs with the event organizers (“Participant Data”). Registration takes place by Participant completing the form provided on the Organiser's website, checking all boxes indicated and clicking on "Submit". Parties deem a completed Registration containing all Participant Data an offer of the Participant to conclude an agreement on Participant's participation in the Event based on these T&C. Once the Participant's Registration has reached Organiser, Organiser will provide the Participant with a receipt confirmation via website pop-up and email. Such confirmation is for information purposes only and is not binding upon Organisor, it especially does not construe the acceptance of Participant’s Registration by the Organiser. 2.2 Tickets for this event are complimentary (should participation be confirmed by Organiser).2.3 Organiser will review Participant’s Registration without undue delay. If the Organiser wishes to offer Participant the opportunity to attend the Event, the Organiser will confirm the successful registration of the Participant via email to the email address provided by the Participant in the Registration.
3. Participation; Exclusion of Participant; Withdrawal by Participant
3.1 All booking confirmations are personalized and have effect between Organizer and the individual Participant. Unless stipulated otherwise in the following, only Participant may participate in the Event.3.2 The Participant may appoint a replacement participant if (i) Participant is personally unable to attend the Event and (ii) if the Organiser agrees by writing. To request a replacement participant, the Participant sends a request to the Organiser to the following email address: incentivize@talon.one. The replacement participant must be personnel of the same company as the Participant. The Organiser will (i) accept or reject Participant’s request without undue delay (ii) and decide according to its sole discretion. 3.3 If the Participant provides false information regarding Participant Data during Registration, the Organiser is entitled to exclude the Participant from the Event even after the start of the Event. If the exclusion occurs after the Event has begun, the Organiser has the right to remove Participant from the event. Any further damage claims of the Organisor remain unaffected.3.4 Participant shall only be entitled to its statutory right to withdrawal due to Organisor violating obligations if Organiser is responsible for such violation.
4.1 The Organiser will conduct the Event.4.2 For the sake of clarification: Participant is solely responsible for its accommodation and transport. The Organiser is not obliged to provide the Participant with any accommodation or transport.4.3 Participant is responsible to inform him/herself of any allergens which might be contained by any food and/or drinks offered. Participant has the option to provide detailed allergen/dietary/accessibility requirements prior to the event and should make themselves known to the organisers upon arrival.
5.1 The Organiser reserves the right to cancel the Event for good reason and, subsequently, withdraw from the agreement based on these T&C, e.g. if the number of participants is too low. In this case, the Organiser will inform the Participant no later than one week before the start of the Event via email.5.2 The Organiser reserves the right to modify details of the Event. Organiser considers Participant’s reasonable interest when planning modifications and will inform Participant of any considerable modifications without undue delay via email.5.3 Parties consider any change of the Event’s venue a modification according to Section 5.2 if Organisor relocates the Event within the Berlin area. 5.4 The Organiser is entitled to cancel the Event and withdraw from the agreement based on these T&C in cases of Force Majeure. “Force Majeure” under this provision shall mean any unanticipated event beyond the Organiser’s reasonable control that could not be avoided by due care of the non-performing Organiser, including without limitation, acts of God, fire, explosion, pandemics, flood, earthquake, drought, war, hostility, revolution, riot, civil disturbance, national emergency, sabotage, embargo. In such cases, the Organiser will inform the Participant immediately (unverzüglich). 5.5 If Organisor cancels the Event and withdraws from the agreement based on these T&C, Participant cannot derive further claims from the cancellation. In particular, Participant is not entitled to any cancellation or rebooking fees or other damages incurred.5.6 Organisor’s statutory rights to withdraw from the agreement based on these T&C remain unaffected.

7.1 The Organiser shall not be liable for any damage suffered by the Participant, regardless of whether such damage is the result of the Organiser's failure to fulfill its obligations under the agreement based on these T&C or any other act and/or omission of the Organiser itself and/or of others acting on behalf of the Organiser, unless the damage is the result of gross negligence or wilful misconduct on the part of the Organiser or the breach of a material obligation, compliance with which is essential for the Organiser to fulfil the agreement based on these T&C and on which the Participant may reasonably rely on ("Cardinal Obligation").7.2 Except in the case of intent or gross negligence or breach of a Cardinal Obligation, the Organiser shall not be liable for any indirect, special or consequential loss or damage, including but not limited to loss of profit, fines or penalties.7.4 This Section 7 shall not apply in case of damage to life and/or limb and or claims arising out of the German Product Liability Act (ProdHaftG).
8.1 The Participant shall compensate the Organiser for any damage suffered by the Organiser as a result of the Participant destroying items or injuring people at the Event or disrupting the course of the Event (“Misconduct”). 8.2 In the event of persistent intentional or grossly negligent Misconduct by the Participant at the Event, the Organiser has the right to exclude the Participant from the Event and withdraw from the agreement based on these T&C.
9.1 The contents of the Event (such as presentations, lectures, readings etc.) are subject to copyright. If Participant is provided with material (such as handouts, videos, recordings etc.) Participant is prohibited from providing these materials to third parties (no matter whether natural or legal person; including Participant’s employer). The Participant is prohibited from recording contents in whole or in part.9.2 During the Event, the Organiser will take or have taken recordings (such as pictures, videos, audio etc.) for documentation and advertising purposes. The Participant agrees to be depicted on this material. The Organiser shall ensure that the personal rights of the Participant are not unreasonably impaired in the production of the image and video material.9.3 By submitting the Registration, the Participant grants the Organiser consent to the production and use of the image and video material for the above-mentioned purpose. For this purpose, the Participant also agrees that the resulting material may be published in the usual media (television, internet, print media).
10.1 Participant shall only be entitled to set-off with undisputed, conclusively determined, or accepted counterclaims.10.2 These T&C and the agreement arising from these T&C are governed by the law of the Federal Republic of Germany, without recourse to the conflict of law rules. The exclusive place of jurisdiction for all disputes arising from or in connection with these T&C shall be the Berlin Regional Court II (Landgericht Berlin II).10.3 The place of fulfilment for all obligations arising from this agreement based on these T&C is the location of the Event.10.4 The language of the agreement based on these T&C is English. The Participant is responsible to download and save the text of these T&C.10.5 If any provision of these T&C is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come as close as possible to the economic objective pursued by the Parties with the invalid or unenforceable provision.
Designation: INCENTIVIZE Summit 2025 including May 21st Summit and side events, May 20th Educational and Executive events, May 22nd Partner Day and any additional associated events under the umbrella of INCENTIVIZE 2025.Date: 20th - 22nd of May 2025 (inclusively).Venue: Festsaal Kreuzberg, Am Flutgraben 2, 12435 Berlin & Talon.One offices, Wiener Strasse 10, 10999 Berlin. Additional locations within Berlin to be confirmed.Period: 20th - 22nd May 2025 inclusively
The Organiser is entitled to modify the Event, especially the location, according to its own discretion while taking Participant’s reasonable interests into account.
