Talon.One Event Terms and Conditions

THE FOLLOWING ATTENDEE TERMS ("TERMS") GOVERN YOUR REGISTRATION AND PARTICIPATION IN THE TALON.ONE EVENT FOR WHICH YOU ARE REGISTERING (THE "EVENT").  BY CLICKING THE "I ACCEPT" OR "SUBMIT" BUTTON DURING THE REGISTRATION PROCESS, OR BY ATTENDING OR PARTICIPATING IN THE EVENT IN ANY CAPACITY, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND REPRESENT THAT YOU HAVE READ AND UNDERSTAND ALL THE PROVISIONS HEREIN. YOU MUST NOT SELECT THE "I ACCEPT" OR "SUBMIT" BUTTON, OR ATTEND OR PARTICIPATE IN THE EVENT IN ANY CAPACITY IF YOU DO NOT AGREE TO THESE TERMS. AS USED HEREIN, "YOU" AND "YOUR" MEANS THE INDIVIDUAL REGISTERING FOR OR PARTICIPATING IN THE EVENT, AND THE COMPANY OR OTHER LEGAL ENTITY BY WHICH YOU ARE EMPLOYED OR FOR WHICH YOU ARE ACCEPTING THESE TERMS. THE "EFFECTIVE DATE" OF THESE TERMS SHALL BE THE DATE THAT YOU CLICK "I ACCEPT" OR "SUBMIT." THESE TERMS ARE BETWEEN YOU AND THE TALON.ONE ENTITY HOSTING THE EVENT AND ITS PARENTS, AFFILIATES, SUBSIDIARIES, AGENTS AND SERVICE PROVIDERS ("TALON.ONE", “WE”, “US”, “OUR”).

1. Registration and Eligibility

1.1. Registration. To register for the Event, you must complete the official registration form on our website. You agree to provide accurate and complete information, which may include your first name, last name, work email address, company name, job title, and other information reasonably required by us (“Registration Data”).

1.2. Eligibility. You must be at least 21 years of age to attend the Event. The Event is intended for business professionals. You represent and warrant that you have the full right, power, and authority to enter into these Terms and attend the Event.

1.3. Confirmation. Your registration is an offer to attend the Event. A binding contract is formed only when we send you an official confirmation email. We reserve the right to reject any registration at our sole discretion.

1.4. Complimentary Attendance. Tickets for this Event are complimentary, subject to our confirmation of your registration.

2. Event Management

2.1. Compliance. You agree to comply with all applicable laws, these Terms, and any rules and regulations of the Event venue. You also agree to follow the lawful instructions of Event staff.

2.2. Security and Property. We reserve the right to take any security measures that we deem necessary to increase the safety of attendees and exhibitors without prior notice. You should not leave bags or other property unattended. Unattended property may be removed from the Event venue, and we will not be responsible for any loss or damage of any kind relating to such removal. Event management may conduct security checks at any time during the Event, including, but not limited to, inspections or scans of any attendees’ or exhibitors’ persons and/or their clothing, bags, containers and other items. Firearms, explosives and other weapons and hazardous materials that could be used to cause injury to another attendee are strictly prohibited at the Event venue and related activities.

2.3. Health and Safety Protocols. We will comply with all World Health Organization or Center for Disease Control and Prevention guidelines, as appropriate, in addition to national and local guidelines to ensure a safe, controlled environment for everyone. As an attendee, you expressly agree to fully comply with applicable COVID19 health and safety measures and protocols for attendance at the Event. Attendees are expected to respect the protocols that have been put in place for the Event and act responsibly.

2.4. Prohibited Conduct. We reserve the right to remove you from the Event without refund or other compensation if you engage in any disorderly, vulgar, indecent, hateful, unsafe, illegal, disruptive, or offensive behavior (including conduct consisting of disparaging statements or opinions regarding race, gender or ethnic background), as determined in our sole discretion. Prohibited conduct includes, but is not limited to, harassment, unauthorized recording, and distribution of unsolicited marketing materials.

2.5. No Transfer. Your registration is for your personal use only and may not be transferred without our prior written consent. We may, at our discretion, permit you to name a substitute participant from your same organization if you are unable to attend. All requests for substitutions must be sent to incentivize@talon.one for approval.

2.6. Badges. You may be required to present identification and pick up a badge at the Event check‑in area before entering the Event. If badges are required for admittance, they must be worn and visible at all times while you are at the Event and during any activity associated with the Event. Badges may not be shared or exchanged with any person.

3. Event Modification or Cancellation

3.1. Changes by Us. We reserve the right to modify the date, time, venue, and content of the Event at any time. We will provide you with notice of any material changes. If we change the Event’s location to a venue outside of the metropolitan area of the original venue city, you may have the right to cancel your attendance.

3.2. Cancellation by Us. We may cancel the Event for any reason, including, but not limited to, a Force Majeure Event. A “Force Majeure Event” includes any event beyond our reasonable control, such as acts of God, fire, flood, riot, war, terrorism, pandemic, or government regulation.

3.3. No Liability for Cancellation. If we cancel the Event, our sole liability to you, and your exclusive remedy, shall be a refund of any registration fees paid to us, if any. We are not responsible for any other costs or damages you may incur, such as travel or accommodation expenses.

4. Data Privacy and Recordings

4.1. Privacy Policy. We will handle your personal information in accordance with our Privacy Policies, available at https://www.talon.one/legal/privacy-policy and https://www.talon.one/legal/privacy-policy, which are incorporated herein by reference. To the extent applicable, the California Consumer Privacy Act Addendum below applies.

4.2. Photography and Recording. By attending the Event, you acknowledge and agree that we (or others on our behalf) will be taking photographs and making audio and/or video recordings of the Event and its participants.

4.3. Grant of Rights. You grant us the irrevocable, worldwide, royalty-free right and license to use, reproduce, publish, distribute, and display your name, image, voice, and likeness captured in such recordings in any media, for any purpose, including for archival, promotional, and marketing purposes, without any further approval from or compensation to you.

5. Intellectual Property

5.1. Our Content. All intellectual property rights in and to the Event, the Event content, and all materials distributed at or in connection with the Event (“Event Materials”) are owned by us, our affiliates, or the Event sponsors or speakers.

5.2. Use of Materials. You may use the Event Materials for your own personal, non-commercial use only. You may not reproduce, distribute, or create derivative works from the Event Materials without our express written permission. Unauthorized recording or broadcasting of the Event is strictly prohibited.

6. Disclaimer of Warranties and Limitation of Liability

6.1. Disclaimer. WE PROVIDE THE EVENT ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE EVENT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

6.2. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS, LOSSES, OR DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ATTENDANCE AT THE EVENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL NOT EXCEED THE AMOUNT OF THE REGISTRATION FEES PAID BY YOU.

6.3. Exclusion of Consequential Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, OR TRAVEL OR ACCOMMODATION COSTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Assumption of Risk and Release of Liability

You understand that participation in the Event is voluntary and carries with it certain inherent risks that cannot be eliminated regardless of the care taken to avoid injuries. You hereby agree to indemnify, release and hold harmless Talon.One, its officers, directors, employees, vendors, partners, agents and contractors from any and all alleged and/or actual liability, claims, actions, lawsuits, damages and losses of any kind, including attorney's fees, which arise out of or result from your attendance at and participation in the Event and ancillary activities, including but not limited to property damage and personal injuries, illness, death or other physical loss, whether or not foreseeable.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with, if the Event is scheduled to occur within the United States of America, the laws of the State of New York, without regard to its conflict of law principles and, if the Event is scheduled to occur in any other country except Germany or the USA, the laws of England and Wales. Any dispute arising out of or relating to these Terms or the Event shall be subject to the exclusive jurisdiction of, if the Event is scheduled to occur within the USA, the state and federal courts located in New York City, New York or, if the Event is scheduled to occur in any other country except Germany or the USA, the courts located in Birmingham, England. You hereby irrevocably waive any and all claims and defenses you might otherwise have in any action or proceeding in any of such courts based upon any alleged lack of personal jurisdiction, improper venue, forum non conveniens or any similar claim or defense.

9. Miscellaneous

9.1. Entire Agreement. These Terms, including any exhibits, constitute the entire agreement between you and us regarding the Event and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

9.2. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

9.3. No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

9.4. Changes to these Terms. We reserve the right to modify these Terms at any time. We will post the revised Terms on the Event website and update the "Last Updated" date at the top of these Terms. For material changes, we will also make a reasonable effort to notify you, such as by sending an email to the address you provided during registration. Your continued attendance at the Event after such changes have been posted will constitute your acceptance of the new Terms. If you do not agree with the modified Terms, your sole remedy is to cancel your registration and not attend the Event.


California Consumer Privacy Act (CCPA) Addendum

This CCPA Addendum applies to you if you are a "Consumer" as defined by the California Consumer Privacy Act of 2018 (“CCPA”). For the purpose of this Addendum, "Personal Information" has the meaning given in the CCPA.

1. Personal Information We Collect

In connection with your registration for and attendance at the Event, we may collect the following categories of Personal Information:

  • Identifiers: such as your name, email address, postal address, and phone number.

  • Professional or Employment-Related Information: such as your job title, company name, and company size.

  • Characteristics of Protected Classifications under California or Federal Law: such as dietary restrictions or accessibility needs you voluntarily provide.

  • Internet or Other Electronic Network Activity Information: such as your interaction with our registration website.

  • Audio, Electronic, Visual, or Similar Information: such as photographs and video recordings taken at the Event.

2. How We Use Your Personal Information

We use the Personal Information we collect for the following business purposes:

  • To process your registration and manage your attendance at the Event.

  • To communicate with you about the Event.

  • To provide you with Event-related services, including accommodating dietary and accessibility requests.

  • For marketing and promotional purposes, as described in Section 4.3 of the Terms.

  • To improve our events and services.

  • For security and fraud prevention purposes.

We do not "sell" your Personal Information as the term is defined under the CCPA.

3. Your CCPA Rights

As a California resident, you have the following rights regarding your Personal Information:

  • Right to Know: You have the right to request that we disclose to you the Personal Information we collect, use, and disclose.

  • Right to Delete: You have the right to request that we delete Personal Information that we have collected from you, subject to certain exceptions.

  • Right to Opt-Out: While we do not sell Personal Information, you have the right to opt-out of the sale of your Personal Information.

  • Right to Non-Discrimination: You have the right not to receive discriminatory treatment by us for the exercise of the privacy rights conferred by the CCPA.

4. How to Exercise Your Rights

To exercise your "Right to Know" or "Right to Delete," please submit a verifiable consumer request to us by e-mailing us at: privacy@talon.one

Only you, or a person registered with the California Secretary of State that you authorize to act on your behalf, may make a verifiable consumer request related to your Personal Information. We will need to verify your identity before processing your request.
